Terms of Service
Between Momelab Unipessoal Lda and the business using Adalie. Version 1.0, effective Sept. 6, 2026.
1. Who we are
Adalie is operated by Momelab Unipessoal Lda, Av. 24 1019 3I, 4500-201 Espinho, Portugal, NIF 518890554. In these terms “we” and “us” mean that company, and “you” means the business that holds the Adalie account.
You can reach us at [email protected].
2. What Adalie is
Adalie is software for taking appointments: a public booking page, a calendar, customer records, and confirmation and reminder messages sent on your behalf. We provide the software. The appointments, the services you offer and the relationship with the people who book them are yours.
Adalie is for business use. It is not sold to consumers, and the consumer-specific rules that would otherwise apply to a distance contract do not apply to your use of it.
3. Your account
You need an account to use Adalie. You are responsible for what happens under it, including anything done by staff you invite. Keep the password to yourself and tell us promptly if you think someone else has it.
We ask you to confirm your email address. Until you do, your public booking page is not served — this is how we stop the service being used to send messages from addresses nobody has proved they hold.
The details you give us have to be accurate, in particular the legal name, address and NIF used on invoices.
4. Plans, and what a term is
There is a Free plan with limits on locations, staff and monthly reminder messages, and a Team plan without them. The current limits and prices are shown on our home page and in your dashboard.
Team is bought as a term, not as a subscription. You pay once for a fixed period. Nothing recurs, nothing renews automatically, and no payment method is stored to be charged again. When the period runs out the account returns to the Free plan until you buy another term.
Paying while a term is still running adds to the end of it. You never lose days by paying early.
Prices are exclusive of VAT, which is added at the rate applicable to you.
5. The free trial
A business may try Team free for 15 days, once. No payment method is asked for and there is nothing to cancel: when the trial ends the account simply returns to the Free plan.
6. When a term or trial ends
Your data is not deleted. Bookings, customers, staff and history remain, and the Free plan’s limits apply from then on — which may mean, for example, that you cannot add a further location until you buy another term or remove one.
7. Refunds
A term is a single payment for a defined period, supplied immediately. If something goes wrong on our side — the service is unusable for a meaningful part of a term, or you were charged in error — write to us and we will put it right, including refunding the unused part where that is the fair outcome.
We do not otherwise refund a term you have simply stopped using. Nothing here affects rights you have by law that cannot be excluded by agreement.
8. Using it properly
Do not use Adalie to send unsolicited marketing, to impersonate anyone, to store data you have no right to hold, or to break the law. Do not attempt to reach other businesses’ data, probe the service for weaknesses without asking us first, or resell Adalie as your own product.
Messages we send on your behalf carry your business name. You are responsible for their content where you choose it, and for having a lawful basis to contact the people you are contacting.
9. Your customers’ personal data
For the personal data of the people who book with you, you are the controller and we are the processor. That relationship is governed by our Data Processing Agreement, which forms part of these terms and which you accept when you create an account.
How we handle your own account data — as controller — is described in our Privacy Policy.
10. Availability
We work to keep Adalie running and to keep your data safe, but we do not promise a particular level of uptime and there is no service level agreement. We may take the service down for maintenance, and we will avoid doing so at times likely to cost you bookings where we can.
Email and SMS are delivered by third parties. We can show that a message left our systems; we cannot guarantee it arrives.
11. Suspension and ending the agreement
You can stop using Adalie at any time and ask us to delete your account. We will delete it, subject to records we must keep by law such as invoices.
We may suspend or close an account that is being used in breach of section 8, that is being used to harm others, or where we are required to. Where the cause is not urgent we will tell you first and give you a chance to fix it. If we close a paid account for a reason that is not your breach, we refund the unused part of the term.
12. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Otherwise, our total liability to you in any twelve-month period is limited to what you paid us in that period, and we are not liable for lost profits, lost bookings or lost goodwill. Adalie is a tool you use to run your business; it is not a guarantee that your business runs.
13. Changes
We may change these terms. If a change materially affects you we will tell you by email before it takes effect. Continuing to use Adalie after that means you accept the new version; if you do not, you can close your account and we will refund the unused part of any term.
We may change the service itself, including adding and removing features. We will not remove something you are actively relying on without telling you.
14. Law and disputes
These terms are governed by Portuguese law, and the courts of Portugal have jurisdiction. If something goes wrong, please write to us first — most things are quicker to fix than to argue about.
